Michael,

Sorry for being a bit late, but I've just gone / still going through the
process. There are a ton of things you should look out for. But I agree
with Erika, get a lawyer to review everything, and if you don't have the
cash, there are a lot of attorneys who will do it for a little bit of
that 'silly money'.

Questions to ask :
    - how involved do I want to stay?
    - how much do I have invested so far time/IP/money?
    - how much are THEY putting up ( do they have all of it now )?
    - how big of a chunk do they want (control issues)?
    - what are your partners objectives, views?
    - what is the potential of selling in the future?
    - who would be potential buyers?
    - are you going to be bound by an employement agreement and what
sort of anti-competition & IP clauses?
    - what is the track record/experience of the investors?
    - terms of the shareholders agreement? buy/sell/shotgun clauses?
