check out Beyond Compare (http://www.scootersoftware.com)
win32, shareware .. about $30 I think. I've been using it for over a year
now (registered and everything :) and
don't know how anyone manages without it.. Pretty much everyone I've shown
it to uses it now too.
It does side-by-side directory comparisons and file comparisons (like win
merge) with color highlighting of the differences. (didn't know win merge
did directories?)

anyhow. it rocks.
