Hi David I have to say the other guy sounds very reasonable to me, unlike a lot of people online, and I really don't see why you would be contemplating legal action. He's obviously happy to work with you, as he's US based and you're in the UK why don't you just have reciprocal links to each others sites, ie "Want webdesign work done in the US, see our US based partner...".
