It is a little unclear as to the situation you are in.

Are you saying that the Director has a license for Windows 98, and you have
a Win98SE Upgrade CD, however the upgrade is failing to run for some reason,
and the Directory can not seem to locate his original media (which would
allow the upgrade CD to verify that you have an original full install disc?)

You may have some luck locating a full Win98 CD on eBay or similar (I had a
quick look, and there appear to be copies for ~$40). Alternatively, you can
try contacting your local Microsoft licensing department about securing
replacement media (however, given that Windows 98 has reached end-of-life,
I'm not sure how well you'd do).
