i wouldn't do it for the dial-up sharing feature (can't vouch for how
good/bad it is), but i'd definitely do it purely for the stability
improvements of win2k over win9x.

you'll notice that you can get one off ebay for pretty cheap.

maybe i'm just paranoid, but i don't feel comfortable with a machine
connected directly to the internet, with or without zone alarm.  i'd *much*
rather have a hardware firewall between my machine and the net.
