Asif -

How much traffic is this machine expected to get? Is it serving static 
HTML files, or dynamic files like ASP of Colf Fusion?

If its not doing anything super crazy, go with one CPU.. Ususally only 
super intensive applications like Databases reap the benefits of having 
2 CPU's.

For webservers, RAM is always more important than CPU cycles. The comes 
disk performance and the speed/size of the L2 cache on the chip..
