Howdy,

Do you have any service monitors/managers (WhatsUp, ServersAlive, etc)
that would restart the service?  (More likely on a production box)

Have you tried the command line?  "iisreset /stop" or "net stop w3svc"
and "net stop iisadmin" might do the trick

I'm  having problems with my Win2K Server IIS 5.0 -- I can't get the WWW
service to  stop. I keep killing (stopping) the service through the
Services Manager, it reports  the service as stopped, but a refresh of
the window shows it as started again.  Oddly  enough,  IIS  seems  to
be running fine in spite of the problem. Additionally,  I  keep  getting
the nebulous Error Code 105 for the W3SVC in the system log every time I
try stopping IIS.
