Nah - sounds perfectly sensible to me.

Yes.

If that's what you agree with the client beforehand (ie it's software
licensing).

I've been involved in projects where the developers have bought back
rights from the clients to be able to use the software for other
(non-competing)
clients.
If you want to license software to clients, you do need to be 100% sure
that all of
it is available for you to license - did you pick up any of it from another
source, for
example, and did that source provide you with a license to sub-license it.
