James,

ME natively uses FAT32 for formatting your HD, whilst XP natively uses NTFS (more secure).

ME won't run on NTFS, however you should be able to run XP on FAT32.

If you have the space and want to keep both OS's, you could either install XP on the FAT32 partition and then configure it in a dual boot arrangement, or if you can afford it you could you get something like Partition Magic and setup one FAT32 partition for ME and another  NTFS partition for XP.

Either way, if you have something like Partition Magic, you should have no problem swapping your partition from FAT32 to NTFS and back without loosing any data.

With regards the Upgrade version of XP - it should give you the same installation options as normal XP, it will just checking the licenses differently.
